Terms of Service

"Service" means the LexaGPT language learning software-as-a-service platform, including the website, mobile applications, interactive video content, learning tools, and all related features.

"Account" means your personal profile created to access the Service.

"Subscription" means the paid monthly or annual plan that grants full access to the Service.

"User Content" means any text, saved words, comments, or other information you create or submit while using the Service.

To use the Service, you must create an Account. You agree to:

• Provide accurate, complete, and up-to-date information during registration.
• Maintain the confidentiality of your login credentials.
• Accept full responsibility for all activities that occur under your Account.
• Notify us immediately of any unauthorized use of your Account.
• Not share your personal Account with others. LexaGPT reserves the right to cancel dormant accounts after 24 months of inactivity.

3.1. Service Description

LexaGPT is a software-as-a-service (SaaS) language learning platform. Its core features include:

• Access to real-world video content (movies, series, educational clips) with interactive subtitles.
• Click-to-define functionality on any word to see meaning, pronunciation, and usage examples.
• Vocabulary management and review tools.
• Interactive exercises based on video content.

3.2. Free Access and Subscription

The Service operates on a subscription-based model.

• Free Access / Trial: A limited free version or a time-limited trial may be offered. We may modify or discontinue free access at any time without notice.
• Paid Subscription: Full access to all features requires purchase of a monthly or annual subscription plan.

3.3. Nature of the Service

• The Service is entirely digital; no physical products are provided.
• LexaGPT does not offer direct human services such as private tutoring or consulting.
• We reserve the right to update, modify, or enhance the Service at any time, with or without notice. Continued use constitutes acceptance of such changes.

You agree not to:

• Use the Service for any commercial purpose without our prior written consent.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use robots, spiders, or automated tools to access, scrape, or collect data from the Service.
• Perform any action that imposes an unreasonable or disproportionate load on our infrastructure.
• Copy, reproduce, distribute, or create derivative works of the Service or its content.
• Circumvent any security-related features or attempt unauthorized access.

5.1. Fees

Subscription fees are displayed on the checkout page at the time of purchase. All fees are payable in the currency indicated.

5.2. Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually). By purchasing a subscription, you authorize LexaGPT to charge the applicable fee to your stored payment method. To cancel auto-renewal, you must do so at least 24 hours before the current period ends via your Account settings.

5.3. Payment Failure

If a payment fails (e.g., expired credit card, insufficient funds), we may suspend or terminate your access to the Service until payment is successfully completed.

Refunds are processed to the original payment method and are handled in accordance with Paddle's policies, as Paddle acts as the Merchant of Record.

7.1. Ownership

You retain ownership of all User Content you create (e.g., saved vocabulary, notes, comments).

7.2. License to LexaGPT

By submitting User Content, you grant LexaGPT a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, and use that content to provide, improve, and develop the Service.

7.3. Content Rules

You agree not to submit content that:

• Is unlawful, abusive, defamatory, threatening, or promotes hatred.
• Infringes the intellectual property or privacy rights of others.
• Contains malware or harmful code.
• Constitutes spam.

We reserve the right to remove any content that violates these Terms without prior notice.

The Service may contain links to third-party websites (e.g., YouTube videos) or rely on third-party infrastructure. You acknowledge that:

• We do not own or control third-party content.
• Your use of such content may be subject to the terms of those third parties.
• LexaGPT is not liable for the content, functionality, or policies of any third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXAGPT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• THE RESULTS OBTAINED FROM USING THE SERVICE WILL MEET YOUR EXPECTATIONS.
• ANY ERRORS OR DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXAGPT AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL LEXAGPT'S TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY, SO THIS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless LexaGPT and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms.
• Your unauthorized use of the Service.
• Your User Content that infringes any third-party rights or violates applicable law.

We may terminate or suspend your Account and access to the Service immediately, without notice, if you breach these Terms or for any other reason in our sole discretion. Upon termination, your right to use the Service ceases. Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms with a new "Last Updated" date. We may notify you of material changes by email or through the Service. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Iran. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation with our support team. If not resolved, disputes shall be submitted to the competent courts in Tehran, Iran.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LexaGPT.
• Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• No Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
